By participating, you agree to these Referral Terms as well as Houfy’s Terms of Service and Privacy Policy. Capitalized terms used but not defined here have the meanings in the Houfy Terms of Service. To the extent of a conflict, these Referral Terms control for the Program.
1. Overview; Definitions
1.1 Overview. The Program allows an eligible existing Houfy host to refer prospective hosts and, subject to these Referral Terms, earn Houfy-issued credits and/or subscription credits. The Program is offered at Houfy’s sole discretion, may vary by region, and is void where prohibited.
1.2 Definitions.
(a) Referrer means a current Houfy host with an active account in good standing who shares their unique referral link or mechanism authorized by Houfy.
(b) Referred Host means an individual or entity that (i) has never held a Houfy host account, (ii) signs up through a valid Referrer link, (iii) adds at least one listing, and (iv) completes Houfy’s host verification process (“Qualifying Onboarding”).
(c) Houfy Credit means a non-cash, non-transferable credit issued by Houfy for single-use host products designated by Houfy (currently including Featured Listings and Last-Minute Deal advertisements).
(d) Subscription Credit means a promotional credit equal to one (1) month of fees on the participant’s then-selected Houfy subscription plan. A Subscription Credit may be (i) applied to an existing subscription, or (ii) used to initiate a new subscription of the participant’s choice from the plans Houfy then makes available. For annual plans, the credit equals one-twelfth (1/12) of the then-current annual price for the chosen plan and is applied pro rata to the first and, if necessary, subsequent invoice(s) until fully consumed. Subscription Credits are promotional benefits, have no cash value, are non-transferable, and are subject to any caps or expiration Houfy sets.
2. Eligibility; Program Territory
2.1 Account Status. Referrers and Referred Hosts must maintain accounts in good standing, not be suspended, restricted, or under investigation, and satisfy age and residency requirements under the Houfy Terms.
2.2 New to Houfy. The Referred Host must be genuinely new to Houfy hosting. Self-referrals, duplicate, shared, or previously banned accounts are ineligible.
2.3 Program Territory. The Program is available only in jurisdictions where Houfy chooses to make it available. Houfy may limit or exclude certain countries or regions at any time.
3. Qualifying Actions; Rewards
3.1 Referrer Initial Reward. Upon a Referred Host’s Qualifying Onboarding, the Referrer earns US$5.99 in Houfy Credit usable only on eligible single-use host products. Houfy may add, remove, or change eligible products at any time.
3.2 Referred Host Reward. A Referred Host receives one (1) month free on any Houfy subscription plan selected at signup. The free month applies once and is consumed first.
3.3 Continuation Bonus to Referrer. If, after the Referred Host’s free month, Houfy (or its processor) successfully charges the Referred Host’s payment method for the subscription term chosen at signup (monthly or annually), the Referrer earns one (1) Subscription Credit. If the Referrer does not have an active subscription when the Subscription Credit is issued, the Referrer may apply that credit to start any available Houfy subscription plan of the Referrer’s choosing. If the invoice amount exceeds the credit, the Referrer pays the difference; if the invoice amount is less than the credit, any remainder is retained as promotional balance solely for future subscription invoices until consumed or expired (no cash redemption).
3.4 Milestone Bonus to Referrer. When a Referrer reaches six (6) distinct Referred Hosts who each achieve the first successful paid subscription charge described in §3.3, the Referrer earns an additional twelve (12) months free on the Referrer’s chosen subscription plan. If the Referrer has an active plan, Houfy will apply the benefit as twelve (12) monthly Subscription Credits to that plan (or the then-current successor plan, at Houfy’s discretion). If the Referrer does not have an active plan at issuance, the twelve months of value may be applied to initiate a new subscription on any plan the Referrer selects, with credits applied pro rata to invoices until consumed. Houfy may, at its discretion, deliver the benefit as an equivalent promotional subscription balance usable only against subscription fees until consumed or expired.
3.5 Attribution; Exclusivity. Only one Referrer can be credited per Referred Host. Attribution is determined solely by Houfy’s systems (e.g., last valid referral link used at signup). Referrals not captured by Houfy’s systems will not qualify.
3.6 Form of Benefits. Rewards are promotional benefits only, have no cash value, are non-transferable, non-assignable, and non-refundable, and may only be used in the account to which they are issued. Houfy may apply rewards automatically to the next eligible transaction.Rewards may be applied automatically to the next eligible transaction. Where allowed, Subscription Credits may be used to initiate a new subscription as described in §§1.2(d), 3.3, and 3.4.
3.7 Caps; Expiration. Houfy may set caps, velocity limits, and expirations for Houfy Credits and Subscription Credits. Any such limits (including expiration dates) will be shown in your account or Program materials. Expired or forfeited rewards will not be reinstated.
4. Prohibited Conduct
Participants may not:
(a) self-refer or coordinate sham referrals;
(b) create, automate, or recycle accounts;
(c) use bulk messages, unsolicited communications, spam, purchased lists, or messages that violate anti-spam, telemarketing, or privacy laws;
(d) mislead, misrepresent, or make unauthorized public claims about Houfy;
(e) post referral links on coupon/deal aggregation sites, paid search or social ads that bid on “Houfy” or its marks, or any channel Houfy designates as prohibited;
(f) offer or provide money, gift cards, discounts, or other compensation to induce use of a referral link;
(g) interfere with, fraudulently generate, or attempt to game Program tracking, including by masking links or using bots, scripts, redirects, or click farms.
Houfy may suspend participation, withhold, deny, claw back, or cancel rewards, and close or restrict accounts for any suspected violation, error, abuse, or fraud.
5. Verification; Audits; Clawbacks
5.1 Verification. Houfy may require identity, eligibility, payment, tax, and activity verification at any time. Failure to timely provide requested information may result in ineligibility or forfeiture.
5.2 Audits. Houfy may audit any referral and reward at any time and may rely on any data in its systems or third-party processors.
5.3 Clawbacks. Houfy may withhold, reverse, or claw back any reward if (a) a qualifying charge is refunded, disputed, or charged back, (b) the Referred Host fails verification or breaches the Houfy Terms, or (c) Houfy reasonably suspects ineligibility or Program abuse.
6. Program Administration; Changes; Termination
6.1 Administration. Houfy may modify Program mechanics, eligible rewards, qualifying actions, and territories, or pause or terminate the Program, in whole or in part and at any time, with or without notice, to the maximum extent permitted by law.
6.2 Effect of Changes. Changes apply prospectively. Unredeemed or pending rewards may be canceled if the underlying qualifying conditions are not (or are no longer) satisfied.
6.3 No Guarantees. Houfy does not guarantee the availability of any subscription plan, single-use host product, or Program feature.
7. Taxes and Fees
Participants are solely responsible for any taxes or reporting obligations associated with rewards. Rewards cannot be applied to verification fees, API connection fees, third-party pass-through charges, payment processing costs, or other excluded amounts unless Houfy expressly allows it.
8. Communications; Privacy; Marketing Rules
8.1 Program Notices. By participating, you consent to Program-related communications (e.g., reward status).
8.2 Lawful Outreach Only. You must share referral links only with people you know and only in compliance with applicable anti-spam, marketing, and privacy laws. You are the sender of your messages and assume all related obligations.
8.3 Privacy. Houfy processes personal data under the Privacy Policy. Referrers will not receive the Referred Host’s personal data beyond what Houfy elects to display (e.g., anonymized progress).
9. Disclaimers; Limitation of Liability; Release
9.1 AS-IS. THE PROGRAM, ANY REWARDS, AND ANY PROGRAM MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOUFY DISCLAIMS ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Indirect Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, HOUFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY.
9.3 Liability Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, HOUFY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PROGRAM WILL NOT EXCEED US$100 OR, IF GREATER, THE MONETARY VALUE OF REWARDS EARNED BUT NOT YET REDEEMED BY THE CLAIMANT IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
9.4 Release. To the fullest extent permitted by law, you release Houfy and its affiliates from claims, demands, and damages of every kind, known and unknown, arising out of or related to disputes between you and any third party (including between Referrer and Referred Host) relating to the Program.
9.5 Essential Basis. The disclaimers and limitations in this Section are an essential basis of the bargain and apply to the extent permitted by law.
10. Indemnification
You will defend, indemnify, and hold harmless Houfy and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your participation in the Program; (b) your breach of these Referral Terms or the Houfy Terms; (c) your unlawful or infringing communications, advertising, or referrals; or (d) fraud, abuse, or misconduct.
11. Governing Law; Venue; Injunctive Relief
These Referral Terms are governed by the laws of the State of Colorado, excluding its conflict-of-laws rules. Exclusive jurisdiction and venue lie in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction there. Notwithstanding the foregoing, Houfy may seek injunctive or equitable relief in any court of competent jurisdiction to prevent or enjoin threatened or actual misuse, fraud, or abuse of the Program.
Optional (US-only) arbitration/class-action waiver language can be added here if you want to further reduce litigation exposure while considering consumer law constraints by jurisdiction.
12. Miscellaneous
12.1 No Assignment of Rewards. Rewards may not be sold, assigned, pledged, or transferred. Any attempted transfer is void.
12.2 No Agency. Participation does not create any partnership, franchise, employment, or agency relationship with Houfy.
12.3 Severability; Waiver. If any provision is unenforceable, the remainder remains in effect. No waiver is effective unless in writing and signed by Houfy.
12.4 Entire Agreement. These Referral Terms and the Houfy Terms are the entire agreement regarding the Program.
12.5 Survival. Sections 4–12 survive termination of the Program or participation.
